The Opportunity:
Manulife seeks a transactional lawyer with 3 to 5 years of meaningful work experience involving the structuring, negotiation and managing of complex private debt or equity transactions. This position works closely with the company's front-office teams that originate investments around the world. The position will also collaborate with other business teams and legal colleagues in Canada, the United States, Europe and Asia to support asset origination, asset management, and corporate initiatives.
The successful candidate will be responsible for advising and managing a broad range of investment transactions, including private debt, private equity and alternative investments, conducting research and analysis on regulatory developments in Asia affecting investments, and providing ongoing support of investment infrastructure and corporate matters. Above all, we seek a colleague who will act as a trusted advisor and broad problem solver to partner with business clients to develop prudent, creative solutions that advance and protect the company's interests.
Position Responsibilities:
Provide legal support in structuring, negotiation, and execution of transactions in connection with the private capital business, including private equity, private placements, private lending, structured credit transactions, syndicated loans, real estate, and other alternative assets investments in various jurisdictions, particularly in Asia, Australia, and Europe.
Work with legal colleagues in affiliated life insurance companies across various jurisdictions in Asia on structuring and execution of transactions, addressing insurance law issues as they relate to the transactions.
Assess legal risk and perform legal due diligence and analysis as required to support new business initiatives in Asia.
Provide legal support on structuring intragroup investment management and advisory arrangements to facilitate business development in Asia, and prepare legal documentation to effect intragroup arrangements.
Provide legal advice and support to the derivative trading desk, including review of related documentation.
Review other agreements entered into by the business, including agreements with investment banks, brokers, and dealers.
Research, analyse and advise on regulatory developments affecting investments and associated entities and operations across all relevant jurisdictions.
Assist with ongoing regulatory filings, disclosures, and corporate governance work, including collaborating with the Compliance and Corporate Secretariat team.
Manage legal and reputational risk exposures, ensuring compliance with all relevant statutory and regulatory requirements as well as internal policies and procedure.
Help implement best practices in the relevant private capital business and operations within Asia.
Assist with internal and external audits with respect to investment transactions.
Manage legal costs and maintain relationships with legal service providers.
Required Qualifications:
Legal degree from a recognized, top-ranking law school.
Current Practicing Certificate or active license in good standing to practice law in Hong Kong.
Minimum 3 years of post-qualification experience.
Prior in-house experience is an advantage.
Excellent command of both written and spoken English and Chinese.
Strong analytical and problem-solving skills.
Ability to work independently with minimal supervision.
Ability to prioritize multiple tasks and meet tight deadlines.
Self-motivated personality with a passion to learn in a fast-changing area.
Good commercial sense and business acumen.
Good interperson al skills with a team-oriented mindset and ability to build relationships with a broad range of internal and external stakeholders.
